1. Acceptance of Terms
By creating an account, subscribing to a plan, or otherwise using the G Capital AI platform (“the Platform”), operated by Global Capital Solution LLC (“the Company”, “we”, “us”), you agree to these Terms of Service in full. If you do not agree, you must not use the Platform.
2. Description of Service
G Capital AI provides AI-powered business automation tools, including but not limited to: customer relationship management (CRM), appointment scheduling, social media management, automated responses to messages and reviews, and content generation. The service is offered on a subscription (Software as a Service / SaaS) basis.
3. AI Can Make Mistakes
This is a central point of these Terms. G Capital AI’s artificial intelligence systems, including automated message replies, social media content, and review responses, may at times produce information that is incorrect, inaccurate, contextually inappropriate, or that does not faithfully represent the client business’s intent. The client acknowledges and agrees that:
- It is the client’s responsibility to review and supervise AI-generated content, especially in public posts, communications with end customers, and automated replies.
- The Company does not guarantee that AI-generated responses will always be accurate, appropriate, or error-free.
- The client may configure supervision levels (manual review before publishing/sending) to mitigate this risk, and is responsible for enabling such settings if desired.
- The Company is not liable for damages, reputational harm, third-party claims, or any other harm arising from AI-generated content that the client did not review before publishing or sending, to the extent permitted by applicable law.
4. Reliance on Third-Party Platforms
The Platform integrates with third-party services including, without limitation, Meta (Facebook and Instagram), Google, WhatsApp, TikTok, YouTube, Telegram, and payment processors such as Stripe. The client acknowledges that:
- The Company does not control, and is not responsible for, outages, policy changes, account suspensions, API changes, or any other event caused by these third-party platforms.
- These platforms may modify or suspend access to their services without notice, which may affect G Capital AI’s functionality outside our reasonable control.
- The client is responsible for complying with the Terms of Service of each third-party platform connected through G Capital AI.
5. Accounts and Client Responsibilities
The client is responsible for: maintaining the confidentiality of its access credentials; all activity occurring under its account; the accuracy of business information provided to the Platform; and compliance with all laws applicable to its business, including consumer protection, advertising, and data protection regulations in its jurisdiction.
6. Payments, Subscriptions, and Cancellations
Plans are billed on a recurring (monthly) basis through our payment processor. The client may cancel its subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are issued for partial periods unless required by applicable law. Add-ons and additional features may be billed separately.
7. Intellectual Property
All software, design, branding, and technology of G Capital AI are the exclusive property of Global Capital Solution LLC. The client retains ownership of its own content, customer data, and brand materials uploaded to the Platform, and grants the Company a limited license to process such materials solely for the purpose of providing the service.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Global Capital Solution LLC will not be liable for indirect, incidental, special, consequential damages, or loss of profits, revenue, data, or goodwill, arising from the use or inability to use the Platform, including those caused by third-party platform failures or by AI-generated content not reviewed by the client. The Company’s total liability to the client, for any reason, will not exceed the amount paid by the client in the three (3) months preceding the event giving rise to the claim.
9. Indemnification
The client agrees to indemnify and hold harmless Global Capital Solution LLC against any claim, damage, or expense (including reasonable legal fees) arising from the client’s misuse of the Platform, breach of these Terms, or content published by the client (including AI-generated content the client published without review) that infringes third-party rights or applicable laws.
10. Termination of Service
The Company reserves the right to suspend or terminate access for any account that breaches these Terms, including use of the Platform for illegal or fraudulent purposes, or in violation of the terms of connected third-party platforms.
11. Changes to These Terms
We may update these Terms from time to time. We will notify significant changes by email or within the Platform. Continued use of the service after such changes constitutes acceptance of the new terms.
12. Governing Law
These Terms are governed by the laws applicable to Global Capital Solution LLC, without prejudice to consumer-protection provisions of the client’s jurisdiction that cannot be excluded by contract.
13. Dispute Resolution and Arbitration
Any dispute arising out of or related to these Terms or use of the Platform will be resolved through binding, individual arbitration, rather than in court or by jury trial. Class action waiver: the client and the Company agree that any proceeding will be conducted only on an individual basis, and not as part of a class, consolidated, or representative action. Before initiating arbitration, the parties agree to attempt to resolve the dispute in good faith through written notice and direct negotiation for a minimum of 30 days.
14. Force Majeure
Neither party will be liable for failures or delays caused by events outside its reasonable control, including but not limited to: natural disasters, acts of war or terrorism, pandemics, power or internet outages at the provider level, widespread failures of third-party infrastructure (including Meta, Google, AWS, Supabase, OpenAI, or hosting providers), or regulatory changes preventing the provision of the service.
15. Assignment
The client may not assign or transfer these Terms or the rights and obligations arising from them without the Company’s prior written consent. Global Capital Solution LLC may freely assign these Terms in the event of a merger, acquisition, corporate restructuring, or sale of assets.
16. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a competent court or arbitrator, that provision will be limited or removed to the minimum extent necessary, and the remainder of the Terms will remain in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Policy and any additional service level agreement or contract signed between the parties, constitute the entire agreement between the client and the Company regarding use of the Platform, and supersede any prior agreement or understanding, oral or written, on the same subject matter.
18. Waiver
The Company’s failure to exercise or enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
19. Third-Party Intellectual Property and Infringement Notices
Global Capital Solution LLC respects the intellectual property rights of third parties. If the client believes content generated or hosted through the Platform infringes their copyright or other intellectual property rights, they may notify us in writing at info@gcapitalai.com, including: identification of the protected work, location of the content in question, contact information, and a good-faith statement that the use is unauthorized. The Company reserves the right to remove reported content and, in cases of repeated infringement, suspend the responsible account.
20. Export Compliance and Sanctions
The Platform is operated from the United States. The client represents that it is not located in, and is not under the control of, a country or jurisdiction subject to U.S. economic sanctions or trade embargoes, and does not appear on any U.S. government restricted or denied party list.
21. Service Level and Availability
The Company strives to keep the Platform available on a continuous basis, but does not guarantee a specific uptime, unless otherwise stated in a separately signed Service Level Agreement (SLA). The service is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
22. Confidentiality
Both parties agree to maintain the confidentiality of non-public information shared during the business relationship, including business data, business strategies, and technical configurations, and not to disclose it to third parties without authorization, except as required by law.
